Backlinks Service Terms — Netlinking Services
These Backlinks Service Terms (hereinafter "Service Terms") apply exclusively to commercial relationships between Doublequatre and its professional clients (B2B). They do not apply to general consumer visitors of the Ludiktoy site.
Article 1 — Parties and purpose
Provider: Doublequatre, a French company represented by its managing director, publisher of Ludiktoy (www.ludik-toy.com). Email: contact@doublequatre.fr.
Client: any legal entity or individual acting in a professional capacity who has placed an order for a backlink service with Doublequatre.
These Service Terms govern the sale by Doublequatre of contextual hyperlink placement services (hereinafter "backlinks" or "netlinking") on the Ludiktoy site, intended for professional clients. Any purchase implies full and complete acceptance of these Service Terms.
Article 2 — Service description
The service includes the insertion of a hyperlink (hereinafter "the Link") pointing to the Client's website, within an editorial article published or existing on Ludiktoy, in compliance with the following conditions:
- The Link is integrated contextually in the body of the article (not in a sidebar, not in an isolated footer);
- The Link is dofollow unless otherwise explicitly agreed;
- The Link's landing page is not in noindex at delivery time;
- The anchor text is defined by mutual agreement between Doublequatre and the Client at order time;
- The host article content is thematically related to the children/toys/education/parenting space.
Article 3 — Pricing
The standard rate for a backlink is $25 USD (twenty-five US dollars, ex VAT). Equivalent in EUR: ~22-24 € depending on FX rate at invoice date. Applicable VAT (if any) is added at the rate in force at invoice date.
Volume rates may be agreed via quote for orders exceeding five (5) links or under recurring partnerships. Any quote is valid thirty (30) days from issue.
Doublequatre reserves the right to modify its pricing at any time. Orders confirmed prior to modification remain subject to the rate in force at the date of confirmation.
Article 4 — Order procedure
Orders are placed via:
- Initial contact by email at contact@doublequatre.fr with target URL, desired anchor text, and article theme;
- Validation of a quote or written confirmation by Doublequatre;
- Payment as specified in Article 5.
The order is deemed confirmed upon receipt of full payment, or for wire transfers, upon credit value date on Doublequatre's account.
Article 5 — Payment terms
Payment is due at order time, before service delivery. Accepted payment methods:
- Credit card via Stripe (secure 3D Secure payment);
- Wire transfer to Doublequatre's account (details provided on quote);
- PayPal for clients outside the SEPA zone (US, Canada, UK, etc.).
Late payment beyond agreed deadline triggers, as of right, late-payment interest at the French legal rate plus five (5) points, plus a flat-rate collection fee of €40 in accordance with article L.441-10 of the French Commercial Code. For U.S. clients, applicable interest is the lesser of 1.5% per month or the maximum rate permitted by applicable law.
Article 6 — Delivery time
Link delivery (publication on Ludiktoy) takes place within seven (7) business days from order confirmation and payment. Doublequatre communicates to the Client the URL of the host article containing the Link by email.
Article 7 — Link duration and warranties
The Link is maintained on Ludiktoy for a minimum duration of twelve (12) months from delivery date, except for the removal cases listed in Article 8.
At delivery, Doublequatre warrants:
- The Link is dofollow;
- The host page is not noindexed;
- The Link is placed in the contextual body of the article, not in a clearly-identified advertising space;
- The host article is indexed by search engines.
Doublequatre does not warrant any specific traffic level, ranking, or SEO outcome resulting from publication of the Link — these depend on factors outside Doublequatre's control.
Article 8 — Link removal cases
Doublequatre reserves the right to remove the Link before expiration of the 12-month minimum duration in the following cases:
- The Client's target site publishes unlawful content, content contrary to good morals, or content violating Ludiktoy's editorial line;
- The target site is penalized by Google (manual action) or subject to legal proceedings;
- Maintaining the Link could harm Ludiktoy's editorial reputation or credibility.
In the event of early removal not attributable to the Client, Doublequatre refunds pro rata for the remaining duration, calculated in full months. No refund is due if removal is justified by Client behavior or content.
Article 9 — Client obligations
The Client agrees to:
- Provide accurate, up-to-date information at order time (target URL, anchor text, billing details);
- Ensure the target site complies with applicable regulations and does not publish unlawful content;
- Not attempt to modify or remove the Link without prior agreement from Doublequatre;
- Inform Doublequatre of any URL change to the target site that may invalidate the Link.
Article 10 — Liability
Doublequatre is bound by a best-efforts obligation in performing these Service Terms. Doublequatre's liability is limited to the amount actually paid by the Client for the order in question (excluding VAT).
Doublequatre shall not be held liable for SEO consequences (positive or negative) resulting from publication of the Link, nor for changes to search engine algorithms.
The Client is solely responsible for the content to which the Link points and indemnifies Doublequatre against any third-party claims in this respect.
Article 11 — Personal data (GDPR B2B / CCPA business contacts)
In the commercial relationship, Doublequatre collects and processes professional data of the Client contact (name, professional email, company name, tax registration, billing details).
These data are processed on the legal basis of contract performance (GDPR Art. 6(1)(b)) and the legal obligation to retain accounting documents (GDPR Art. 6(1)(c)).
They are retained for the duration of the commercial relationship plus the legal accounting retention period (10 years under French law). They are neither sold nor shared with third parties, except where required by law.
The Client contact has rights of access, rectification, erasure, and objection, exercisable at contact@doublequatre.fr. For CCPA-covered California businesses, equivalent rights apply.
Article 12 — Force majeure
Neither party may be held liable for non-performance of its obligations in the event of a force majeure event within the meaning of article 1218 of the French Civil Code (natural disaster, large-scale cyberattack, hosting provider outage, etc.). The party invoking force majeure must inform the other within forty-eight (48) hours. If the force majeure event lasts more than thirty (30) days, either party may terminate the contract without compensation.
Article 13 — Dispute resolution
For any dispute between professionals, the parties agree to seek an amicable resolution before any judicial recourse. A 30-day negotiation period is contractually required before initiating litigation.
Article 14 — Governing law and jurisdiction
These Service Terms are governed by French law. In the event of a persistent dispute after amicable resolution attempt, the dispute shall be brought before the Tribunal de commerce or Tribunal judiciaire d'Aix-en-Provence (France), depending on the nature of the dispute, notwithstanding multiple defendants or third-party warranty proceedings, even for urgent or precautionary proceedings.
For U.S.-based Clients, mandatory provisions of their state of incorporation (notably consumer protection law, where applicable) apply.
